This EULA governs your rights to use the audit report you receive from Audit Engine, a product of Venture Panda LLC.
1. License granted
On full payment, Venture Panda LLC grants you a perpetual, worldwide, non exclusive, non transferable license to use the audit report for your business purposes. This includes:
- Reading, sharing internally, and acting on the findings.
- Quoting findings in pitches, board materials, and external presentations with attribution to "Audit Engine."
- Excerpting up to 500 words in published content (blog posts, articles, social) with attribution and a link to AuditEngineHQ.com.
2. License restrictions
You may not:
- Resell or sublicense the report to a third party.
- Use the report or its methodology to build a competing audit product.
- Republish the report in full without written permission.
- Remove or alter Audit Engine attribution in shared excerpts.
3. Methodology IP
The methodology rubrics (GEO, Agent Readiness, AI Surface Posture, AI Adoption Opportunity), the agent prompts, the scoring frameworks, and the report structure are the IP of Venture Panda LLC. The license above grants no rights to these underlying systems.
4. Confidentiality
Your business information submitted during intake is confidential. Audit Engine does not publish or share your specific findings, scores, or company name without your consent.
5. Disclaimer of warranties
Reports are AI generated analyses of public signals. They are informational, not legal, financial, accounting, regulatory, or medical advice. Reports are provided "as is." Venture Panda LLC makes no warranty of accuracy, fitness for purpose, or merchantability. You verify findings before acting.
6. Limitation of liability
Venture Panda LLC's liability for any claim arising from your use of a report is limited to the amount you paid for it.
7. Termination
This license terminates immediately if you breach the restrictions in section 2. On termination, you must cease use and destroy copies of the report.
8. Governing law
New York law applies. Disputes are resolved in the state and federal courts of New York County, New York.
Note for Jon: v0 placeholder. A lawyer should review the IP and license restriction language to ensure it is enforceable. Particularly the "use to build a competing audit product" clause, which is often unenforceable as written.
